Terms of Service

1. Acceptance of Terms

By accessing or using ReelyArt (the "Platform"), operated by ReelyArt LLC ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not access or use the Platform.

These Terms apply to all users, including visitors, registered users, and subscribers.

2. Description of Service

ReelyArt is an AI-powered Web3 design platform built for creators, communities, and projects. The Platform provides the following features:

• Studio AI image generation on a choice of third-party models, at output qualities from 1K to 4K, for social media and brand visuals. Some models and output qualities are available only on paid subscription plans; which ones is shown in the tool and on our Pricing page, and may change as models and their costs change.
• Studio Header AI-generated banner and header visuals optimized for Web3 project branding.
• Lab AI scene generation powered by NFT and Web3 project metadata fetched via OpenSea.
• Content Studio AI-powered creation of memes, stickers, and animated GIFs.
• Collage A grid-based collage builder for arranging your own images into a single composition, with layout templates, aspect ratios, and background options.
• Tier List A tier-list builder for ranking NFT collections and other images, with the option to publish a ranking for others to view.
• Library Saved generation history across the tools, with download, publish, and delete.
• Community Pages for verified projects and communities, each with its own asset kit, a public feed of member work, and generation on the page itself. New accounts receive a one-time allowance of free generations to spend across any community; see Section 6.
• Holder Perks Promotional benefits for verified members of partner communities, including bonus credits, single-use subscription discount codes, and access to exclusive Studio templates. Eligibility may be based on NFT ownership (verified via a linked Ethereum wallet), on holding a specific role in a partner's Discord server (verified via a linked Discord account), or both.

Access to AI features is governed by a credit-based system. Credits are consumed per generation action, and the amount varies by feature, by the AI model you select, and by output quality. Certain models and quality tiers require an active paid subscription. Subscription plans and one-time credit packs are available, see our Pricing page for current rates.

3. User Accounts

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Keeping your account information accurate and up to date

You must notify us immediately at info@reely.art if you suspect any unauthorized access to your account.

4. User Content & Ownership

You retain full ownership of all content you upload or create on the Platform, including:

• Uploaded images and avatars
• AI-generated visuals produced using your inputs
• Project files, templates, and design exports

By uploading content, you grant ReelyArt LLC a limited, non-exclusive, royalty-free license to process and store that content solely for the purpose of operating the Platform and delivering the requested service to you.

We do not claim ownership over your content. We do not use your uploaded content or AI-generated outputs to train AI models.

Uploaded files are subject to a per-file size limit of 10MB on every plan. Individual tools may apply a smaller limit, which is shown in the tool.

Publishing to a Community

Everything above applies to content you keep to yourself. Publishing a creation to a community feed is a separate, voluntary act, and these terms apply to it:

• A published creation is public. Anyone can view it on ReelyArt without an account, and it may appear in community feeds, on the Community page, in search engines, and in link previews when a page is shared. Your display name and profile picture are shown alongside it as attribution.
• Rights you confirm. By publishing you confirm that you created the work on the Platform and that publishing it infringes no one else's rights, including copyright, trademarks, and the likeness or personal data of real people. Do not publish work built from assets you are not permitted to use.
• Licence you grant. You keep ownership. You grant ReelyArt LLC and the community you publish to a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and promote the published creation in connection with the Platform and that community, including in showcases, social posts, and marketing material. This licence covers the published copy only and ends, for future use, when the post is withdrawn or removed.
• Prompts. Sharing the prompt is optional and chosen per post. A shared prompt is published with the creation, and other members may read and reuse it.
• Community rules. Published work must be appropriate for a general audience. No sexual content involving minors; nothing hateful, harassing, violent, or illegal; no impersonation; no spam or repeated posting of the same work; and nothing that misrepresents another project or its team. Section 9 applies in full.
• Moderation and removal. A community's owner may hide anything that breaks that community's rules, and ReelyArt may remove or restrict content that breaks these Terms. Hidden content is reviewed by ReelyArt. You may withdraw your own post at any time; copies already downloaded or shared elsewhere are outside our control.
• Community pages. Pages are granted to verified projects and may be paused, unlisted, or withdrawn. A page owner controls their community's name, description, artwork, links, and asset kit, and moderates its feed; ReelyArt retains control of the page address and of any free-generation allowance attached to it. A page owner is responsible for holding the rights to the assets they publish in their kit.

5. Billing & Subscriptions

All payments are processed securely through Stripe, Inc. By subscribing, you authorize ReelyArt LLC to charge your payment method on a recurring basis according to your selected plan.

• Monthly plans are billed on the same date each month. Subscription credits refresh at the start of each new billing cycle. Any unused subscription credits from the previous cycle are cleared and do not carry over.
• Failed renewal payments: if a renewal charge fails, any unused subscription credits from the ended billing cycle expire immediately. If a retried payment later succeeds, the full credit allocation of the new cycle is granted. Permanent credits are unaffected.
• Annual plans are billed as a single upfront payment for the full 12-month period. Credits still refresh automatically every month at no additional charge. At the end of the 12-month period, the subscription renews with another annual payment unless cancelled beforehand.
• Prices are displayed in USD and may be subject to applicable taxes depending on your location.
• We reserve the right to change pricing with at least 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.

Plan Changes

• Upgrades: monthly to monthly: take effect immediately. A one-time invoice is charged for the new plan's monthly price minus the proportional value of your remaining unused subscription credits. Your new plan's full credit allocation is granted right away, replacing any previous unused subscription balance.
• Upgrades: monthly to annual: switching to an annual billing plan is treated as an upgrade and is available at any time, regardless of tier. A one-time invoice is charged for the full annual plan price minus a discount based on your remaining monthly subscription credits. Your new monthly credit allocation starts immediately.
• Upgrades: annual to annual: take effect immediately. The value of the remaining months on your current annual plan is credited as a discount toward the new annual plan charge. Your new monthly credit allocation starts immediately.
• Downgrades: monthly: take effect at the end of your current billing period. You retain full access to your existing plan, features, and credits until that date.
• Downgrades: annual and annual-to-monthly switches: are not available mid-year. Annual subscriptions continue until the renewal date regardless of plan change requests. You may select a lower annual tier or switch to a monthly plan to apply at your next annual renewal date.

6. Credits

Credits are the in-platform currency used to access AI-powered generation features. Credit costs vary by feature and output quality, see our Pricing page for current rates.

• Subscription credits are allocated monthly based on your plan and reset at the start of each billing cycle. Unused subscription credits do not roll over.
• Permanent credits are purchased as one-time credit packs. They never expire and carry over indefinitely regardless of subscription status.
• When both credit types are available, permanent credits are always consumed first. Subscription credits are drawn upon only once the permanent balance is exhausted.
• Bonus credits may be granted through promotional campaigns such as Holder Perks. They are added to your permanent balance and never expire.
• Free community generations are a one-time allowance granted to a new account, spendable across any community page. They cover a limited model and output quality, are counted per account rather than per community, and are not credits: they cannot be transferred, refunded for cash, or converted to credits. A failed generation returns the allowance it consumed. The size of the allowance, and any additional allowance granted for a campaign, may be changed or withdrawn at any time. Attempts to obtain repeat allowances through multiple accounts may result in account action under Section 9.
• Credits are non-transferable and have no cash value.

Welcome Credits & Fair Use

• Welcome credits are a one-time grant added to the permanent balance of a new account so that the Platform can be tried before purchase. The grant is limited to one per person, not one per email address, wallet, or account. It is promotional, made at our discretion, and its size may be changed or withdrawn at any time. The current amount is shown when you sign up.
• Additional accounts created by the same person will not receive the grant. To enforce this limit we run automated checks at sign-up, using the IP address and a device identifier derived from your browser, as described in our Privacy Policy. These checks may decline the grant automatically.
• Accounts are also reviewed manually. Where an account is identified, by automated checks or by manual review, as a duplicate account or as having obtained welcome credits in breach of this section, we may withhold the grant and remove the affected credits from the balance, in whole or in part, automatically or manually, and without prior notice.
• Credits removed under this section are promotional, have no cash value, and are not refundable or exchangeable. Repeated attempts to obtain the grant through multiple accounts are a violation of Section 9 and may lead to suspension or termination under Section 13.
• Purchased credits are not removed under this section. Where an account is terminated for a violation, any remaining balance is treated under Section 13.
• If you believe credits were removed in error, contact us at info@reely.art and we will review the decision.

Holder Perks Campaigns

• Campaign eligibility may require holding an NFT from the partner collection (verified against public on-chain data via a linked Ethereum wallet), holding a specific role in the partner's Discord server (verified via Discord's API through a linked Discord account at the time of the claim), or both.
• A wallet address or Discord account can be linked to only one ReelyArt account. Each campaign can be claimed once per account, once per wallet, and once per Discord account.
• Each claim is bound to a specific NFT. An NFT that has been used for a campaign cannot be used for that campaign again, including after a transfer to another wallet or account.
• Campaign rewards vary by campaign: bonus credits (added to your permanent balance) or a single-use discount code valid once on a monthly subscription at checkout. Claiming a partner's campaign may additionally unlock holder-only Studio templates reserved for that community. Discount codes and template access are promotional and may be limited or withdrawn.
• Campaigns may be subject to participation limits and time windows, and may be modified, paused, or ended at any time. Exclusive templates may be removed when a campaign ends.
• Holder benefits are promotional, non-transferable, and have no cash value. Attempts to circumvent claim limits may result in reversal of granted benefits and account action under Section 9.

7. Cancellation Policy

You may cancel your subscription at any time from your account settings page. Cancellation takes effect at the end of the current billing period.

• After cancellation, you retain full access to your plan features and credits until the billing period ends.
• For annual plans, cancellation stops the next annual renewal. Access continues until the end of the paid 12-month period.
• Subscription credits that were part of the cancelled plan are cleared at the end of the billing period. Permanent credits are unaffected.
• We do not offer partial refunds or pro-rata credits for unused time remaining in a billing period.
• The unused-credit discount applied during a plan upgrade is a billing adjustment toward the new plan charge, not a cash refund.

8. Refund Policy

All purchases on ReelyArt are generally non-refundable. By completing a purchase, you acknowledge and agree to this policy.

• Subscription fees are non-refundable. This includes both monthly and annual plan charges once the billing period has begun.
• One-time credit packs are non-refundable once any portion of the credits has been used.
• Unused credit packs may be eligible for a refund within 7 days of purchase if no credits from that pack have been consumed. To request a refund, contact us at info@reely.art.
• Technical failures that result in credits being deducted without a successful generation are reviewed individually. If confirmed, credits are restored or a refund is issued at our discretion.
• Refund requests related to duplicate charges or unauthorized transactions are handled promptly. Contact us with your account email and order details.

To submit a refund request, email info@reely.art with your account email and a description of the issue. We aim to respond within 3 business days.

9. Acceptable Use

You agree not to:

• Upload or generate unlawful, harmful, abusive, or infringing content
• Violate third-party intellectual property rights
• Use the Platform for any illegal or unauthorized purpose
• Attempt to reverse-engineer, scrape, or exploit the service or its AI systems
• Circumvent credit systems, access controls, or rate limits
• Use the Platform to generate content intended to deceive, defraud, or harass others

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

10. AI Disclaimer

ReelyArt uses multiple third-party AI systems to power its generation features, including but not limited to:

• OpenAI language analysis, prompt processing, and image generation and editing
• Google multimodal image generation and image revision
• Replicate image generation, video and animation generation, and image background removal, including models operated by third parties on that platform

Which model runs a given request depends on the tool you use and the model you select. The models available on each tool, and the provider behind each one, are shown in the tool itself and on our Pricing page, and change as models are added, replaced, or retired. Adding or changing a model within the providers listed above is not a change to these Terms.

• AI-generated content may not always be accurate, original, or legally compliant.
• We do not guarantee that outputs are free from third-party intellectual property claims.
• Users are solely responsible for reviewing, approving, and ensuring the legality of generated content before any commercial or public use.

11. Intellectual Property

The ReelyArt platform, branding, interface design, software, and all associated assets are owned by ReelyArt LLC and protected by applicable intellectual property laws.

You may not copy, reproduce, modify, or redistribute any Platform assets or code without explicit written permission from ReelyArt LLC.

12. Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind.

ReelyArt LLC is not liable for:

• Service interruptions or downtime
• Loss of data, projects, or generated content
• Indirect, incidental, or consequential damages
• Issues arising from third-party AI provider outages or outputs

Use of the Platform is at your own risk. Our total liability to you shall not exceed the amount paid by you in the 3 months preceding the claim.

13. Termination

• We may suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.
• Users may delete their account at any time directly from the Account page. Deletion is immediate and permanent, all associated data is removed instantly and cannot be recovered.
• Upon termination, your right to access the Platform ceases immediately. Unused subscription credits are forfeited. Permanent credits are non-refundable upon account termination due to policy violations.
• Where an account is terminated for abuse of promotional grants or of the credit system, any remaining credit balance is forfeited and removed.

14. Age Requirement

ReelyArt is intended for users who are 13 years of age or older. Users between the ages of 13 and 16 in the European Union must have verifiable parental or guardian consent in accordance with GDPR requirements.

We do not knowingly collect personal data from children under 13. If we become aware that a user is under 13, we will delete their account and associated data promptly.

15. Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved informally, it shall be submitted to the courts of competent jurisdiction. Nothing in these Terms limits your rights under applicable mandatory consumer protection laws.

16. Changes to Terms

• We may update these Terms periodically. Material changes will be communicated via email or an in-platform notice.
• Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
